Diversis Capital has purchased a majority stake in Tideworks Technology, acquiring the shares from previous owner Carrix. The deal adds another vertical software company to the private equity firm's growing investment portfolio.
Tideworks develops terminal operating system software and supporting technology designed for marine and intermodal rail terminal operations. The company's platforms help port and rail facilities manage container flow, equipment tracking, and yard planning. According to company figures, its systems are deployed at more than 130 facilities around the world.
The acquisition fits a pattern for Diversis Capital, which has focused on software businesses serving specific industries rather than broad consumer markets. Terminal operating systems represent a specialized niche with high barriers to entry, long customer relationships, and recurring revenue from licensing and support contracts.
Carrix, a major player in marine terminal operations, will retain a minority position in Tideworks following the transaction. The companies did not disclose financial terms of the agreement.
Industry observers note that port and rail operators continue to invest in digital tools that improve throughput and reduce manual processes. Tideworks competes with several other vendors in the terminal software space, including larger enterprise technology providers and smaller regional specialists.
The deal is expected to close after standard regulatory approvals. Diversis Capital has not announced specific plans for changes to Tideworks management or operations.
